3. Surveys, Design and Specification
3.1 The Company shall use reasonable care and skill in assessing the Client's stated requirements and preparing the Specification.
3.2 The Client shall provide accurate and complete information regarding: (a) the areas requiring surveillance; (b) the purposes for which the CCTV System is required; (c) known Site risks; (d) existing CCTV, alarm, IT and communications infrastructure; (e) power supplies; (f) building construction and access restrictions; (g) network and cybersecurity requirements; and (h) any other information reasonably relevant to design or installation.

3.4 The Company is entitled to rely upon information supplied by the Client and shall not be responsible for additional cost, delay or reduced performance resulting from inaccurate, incomplete or undisclosed information.
3.5 Camera positions, viewing angles, fields of view, recording requirements and other technical details shall be those specified or agreed for the Site.
3.6 Drawings, diagrams or illustrations supplied before installation may be indicative and subject to reasonable adjustment during installation to reflect actual Site conditions.
4. Client Responsibilities and Site Information
4.1 The Client warrants that it owns, occupies or has sufficient authority to authorise installation and operation of the CCTV System at the Site.
4.2 Unless expressly included within the Company's scope, the Client is responsible for obtaining: (a) landlord or property-owner consent; (b) planning or other regulatory permissions; (c) permissions for access to third-party property; (d) IT or network permissions; (e) listed-building or conservation approvals; and (f) any other consent necessary for the installation.
4.3 The Client shall disclose known hazards or restrictions including asbestos, fragile surfaces, hazardous materials, buried or concealed services, high-voltage equipment, restricted-access areas and unusual working conditions.
4.4 The Client shall provide safe and reasonable access to the Site at agreed times.
4.5 Where the Client is responsible for providing power, network connectivity or other infrastructure, it shall ensure that such infrastructure is suitable and available when required.
4.6 The Client shall nominate an authorised representative who may approve reasonable operational decisions and variations during the works.
5. Installation and Site Access
5.1 The Company shall carry out installation with reasonable care and skill.
5.2 Installation dates are estimates unless expressly agreed as fixed contractual dates.
5.3 The Company may make reasonable changes to cable routes, equipment positions or installation methods where Site conditions make the originally proposed arrangement impracticable or where the change does not materially alter the intended performance of the CCTV System.
5.4 The Client acknowledges that installation may involve drilling, fixing, cabling, access equipment and reasonable disturbance to building surfaces.
5.5 The Company shall take reasonable care but shall not be responsible for unavoidable minor cosmetic disturbance resulting from properly performed installation works.
5.6 Making good, decoration, specialist building work, scaffolding, powered access, civil engineering or electrical works are excluded unless expressly included in the quotation.
5.7 Where installation is delayed because the Site is unavailable, unsafe or not ready, the Company may recover reasonable additional labour, travel, equipment and remobilisation costs.
6. Existing Systems, Cabling and Third-Party Equipment
6.1 Where the Company is requested to connect to or maintain existing equipment not originally supplied or installed by the Company, the Company does not warrant the condition, suitability or remaining life of that equipment.
6.2 The Company may rely upon existing cabling, power supplies, networks or infrastructure where reasonably considered suitable.
6.3 If previously concealed defects or incompatibilities are discovered, the Company may recommend additional work or replacement equipment.
6.4 Additional works arising from defects, deterioration or incompatibility in existing third-party equipment shall be chargeable unless expressly included within the original Contract.
6.5 The Company shall not be responsible for failure caused by third-party equipment, cabling, software or infrastructure which it has not supplied or over which it has no reasonable control.
7. Power, Networks and Connectivity
7.1 CCTV Systems may depend upon mains electricity, internet services, local-area networks, routers, switches, wireless networks, mobile communications or other third-party infrastructure.
7.2 Where such infrastructure is provided or controlled by the Client or a third party, the Company cannot guarantee its availability or performance.
7.3 The Client shall not materially alter relevant network, firewall, router, power or communications settings without considering the effect upon the CCTV System.
7.4 The Company shall not be responsible for loss of CCTV functionality caused by: (a) interruption of Client-controlled power; (b) failure or alteration of Client IT infrastructure; (c) internet or telecommunications outage; (d) changes made by the Client or its IT provider; (e) blocked ports or firewall changes; (f) inadequate network capacity; or (g) other third-party communications failures.
7.5 Where reasonably requested, the Company will cooperate with the Client's IT provider in identifying technical requirements. Any material additional work may be chargeable.
9. Commissioning and Acceptance
9.1 Following installation, the Company shall commission the CCTV System to the extent included within the Contract.
9.2 Commissioning may include appropriate testing of: (a) cameras; (b) recording equipment; (c) viewing functionality; (d) network connectivity; (e) remote access; (f) storage settings; and (g) other agreed system features.
9.3 The Client shall be given a reasonable opportunity to identify any material defect or deviation from the agreed Specification.
9.4 Unless the Client notifies the Company of a material defect within a reasonable period following commissioning, the CCTV System shall be treated as accepted, without prejudice to any applicable warranty.
9.5 Minor defects or incomplete items that do not materially prevent use of the CCTV System shall not entitle the Client to reject the entire installation.
9.6 The Company shall use reasonable endeavours to correct properly notified installation defects within a reasonable period.
10. Charges and Payment
10.1 The Client shall pay the Charges specified in the quotation or order confirmation.
10.2 All prices are exclusive of VAT unless expressly stated otherwise.
10.3 The quotation may provide for staged invoicing including: (a) deposit or order payment; (b) payment on delivery of equipment; (c) progress payments; (d) payment following installation or commissioning; and (e) recurring maintenance charges.
10.4 Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date.
10.5 Time for payment is of the essence.
10.6 If a payment becomes overdue, the Company may claim statutory interest, fixed compensation and reasonable recovery costs to the extent available under the Late Payment of Commercial Debts (Interest) Act 1998.
10.7 The Client shall not withhold undisputed amounts because another amount is disputed.
10.8 The Company may suspend installation, maintenance, remote support or other Services for material non-payment after giving reasonable notice.
11. Variations and Additional Works
11.1 Changes requested by the Client following acceptance of the quotation may result in additional Charges.
11.2 The Company shall, where reasonably practicable, identify material additional Charges before undertaking additional work.
11.3 Where unforeseen Site conditions require immediate minor additional work to enable safe or effective installation, the Company may undertake such work where reasonable.
11.4 Material variations should be approved by the Client's authorised representative.
11.5 A variation may affect the completion date and other agreed timescales.
12. Title and Risk in Equipment
12.1 Risk in Equipment supplied for permanent installation passes to the Client upon delivery to the Site or, where delivered by the Company as part of installation, when the Equipment is installed.
12.2 Ownership and legal title to Equipment supplied by the Company shall remain with the Company until all sums due in respect of that Equipment have been received in cleared funds.
12.3 Until ownership passes, the Client shall: (a) take reasonable care of the Equipment; (b) keep it adequately insured; (c) not sell, charge, pledge or otherwise dispose of it; and (d) identify it as Company property where reasonably requested and practicable.
12.4 Where Equipment has become permanently incorporated into the Client's premises, nothing in this clause entitles the Company to enter premises or remove Equipment unlawfully.
12.5 The Client shall nevertheless remain liable for all unpaid Charges.
13. Warranty and Defects
13.1 The Company warrants that installation Services will be performed with reasonable care and skill.
13.2 Where manufacturer warranties apply to Equipment, the Company shall, where reasonably practicable, pass through or assist the Client in obtaining the benefit of those warranties.
13.3 Unless otherwise stated in the quotation, the Company's workmanship warranty shall apply for 12 months from commissioning.
13.4 The warranty does not cover failure or damage caused by: (a) misuse or negligence; (b) vandalism or malicious damage; (c) accidental damage; (d) unauthorised alteration or repair; (e) power surge or unsuitable electrical supply; (f) Client or third-party network changes; (g) water ingress or environmental conditions outside equipment specifications; (h) fair wear and tear; (i) consumable or finite-life items; (j) third-party equipment; or (k) failure to undertake reasonable maintenance.
13.5 Warranty work does not include faults outside the Company's responsibility. Such work may be charged at the Company's applicable rates.
14. Maintenance Services
14.1 Where Maintenance Services are purchased, the scope, frequency and Charges shall be stated in the relevant maintenance quotation or agreement.
14.2 Maintenance may include agreed inspection, testing, cleaning, adjustment, software checks, fault diagnosis and other preventative maintenance.
14.3 Unless expressly included, maintenance Charges do not include: (a) replacement cameras or major equipment; (b) batteries or other consumables; (c) hard drives or storage devices reaching the end of serviceable life; (d) access equipment or scaffolding; (e) repair of vandalism or accidental damage; (f) work required because of Client or third-party changes; (g) network or IT work; (h) electrical work outside the CCTV System; (i) upgrades requested by the Client; or (j) obsolete equipment replacement.
14.4 The Client shall provide reasonable Site access at agreed maintenance times.
14.5 Where a maintenance visit cannot be completed because access is unavailable, the Company may make a reasonable charge for the aborted visit.
14.6 Maintenance reduces the risk of system failure but does not guarantee continuous or fault-free operation.
15. Faults, Call-Outs and Repairs
15.1 The Client shall notify the Company promptly of any suspected fault.
15.2 The Company shall use reasonable endeavours to investigate reported faults within any response period expressly stated in the maintenance agreement.
15.3 Any stated response time means the time within which the Company aims to begin responding to or investigating the fault unless expressly stated otherwise. It is not necessarily a guaranteed repair or restoration time.
15.4 Repair times may depend upon: (a) Site access; (b) fault complexity; (c) availability of replacement parts; (d) manufacturer support; (e) network or utility availability; and (f) other factors outside the Company's reasonable control.
15.5 Where a fault is found to arise from an excluded cause, the visit and repair may be charged.
15.6 The Company may recommend replacement rather than repair where equipment is obsolete, uneconomic to repair or no longer supported.
16. Software, Firmware, Passwords and Cybersecurity
16.1 Modern CCTV Systems may rely upon software, firmware, network services and manufacturer applications.
16.2 The Client shall take reasonable care of passwords, usernames and access credentials supplied to it and shall not disclose them unnecessarily.
16.3 The Client is responsible for ensuring that access credentials provided to former employees, contractors or other users are changed or withdrawn when appropriate.
16.4 Software or firmware updates may from time to time be advisable for security, compatibility or functionality.
16.5 Where software or firmware updating is included within a Maintenance Service, the Company will use reasonable endeavours to undertake appropriate supported updates.
16.6 The Company shall not be required to install an update where it reasonably considers that doing so may destabilise the CCTV System, create incompatibility or materially impair functionality.
16.7 Major software upgrades, licence renewals, replacement hardware or migrations necessitated by manufacturer obsolescence may be separately chargeable.
16.8 The Company is not responsible for cyber incidents caused by matters outside its reasonable control, including compromise of Client-controlled networks, passwords or devices.
17. CCTV Data and Data Protection
17.1 Each party shall comply with applicable data protection legislation, including the UK GDPR and Data Protection Act 2018, in relation to personal data processed in connection with the CCTV System.
17.2 Unless otherwise expressly agreed, the Client is responsible for determining: (a) why surveillance is undertaken; (b) the lawful basis for that surveillance; (c) what areas are monitored; (d) appropriate retention periods; (e) who may access CCTV footage; (f) how requests from individuals are handled; and (g) whether appropriate signage, notices or other transparency measures are required.
17.3 The installation of a CCTV System by the Company does not, by itself, make the Company the controller of footage subsequently recorded by the Client.
17.4 Where the Company processes CCTV images or other personal data solely on the Client's behalf, the Company shall act as processor to the extent applicable and shall: (a) process personal data only on documented Client instructions except where otherwise required by law; (b) maintain appropriate confidentiality and security measures; (c) provide reasonable assistance concerning applicable data-protection obligations; (d) where another processor is appointed by the Company, do so in accordance with applicable data protection law and required Client authorisation and ensure an appropriate written agreement is in place; and (e) delete or return relevant personal data when required and reasonably practicable following termination of the processing service.
17.5 The Company may process personal information as controller where reasonably necessary for its own business, employment, security, regulatory, insurance or legal purposes.
17.6 The Client shall not require the Company to configure or operate the CCTV System in a manner the Company reasonably believes would be unlawful.
17.7 The Client acknowledges that surveillance systems processing images of identifiable individuals are subject to applicable data-protection requirements.
18. Insurance and Liability
18.1 The Company shall maintain appropriate insurance for its business activities at levels determined from time to time having regard to its operations and contractual commitments. The Client may request reasonable evidence of relevant insurance. The existence or level of insurance does not itself determine the Company's contractual liability.
18.2 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded or limited.
18.3 Subject to Clause 18.2, the Company shall not be liable for: (a) loss of profit; (b) loss of revenue; (c) loss of anticipated savings; (d) loss of business or opportunity; (e) business interruption; (f) loss of goodwill; or (g) indirect or consequential loss.
18.4 The Company shall not be liable to the extent that loss results from: (a) inaccurate or incomplete information supplied by the Client; (b) unauthorised changes to the CCTV System; (c) failure of Client or third-party power or communications infrastructure; (d) Client network or cybersecurity failures; (e) failure to maintain the System where maintenance is the Client's responsibility; (f) Site changes or obstructions occurring after commissioning; (g) third-party equipment failure; (h) use of the CCTV System outside its agreed purpose or Specification; or (i) circumstances outside the Company's reasonable control.
18.5 Subject to Clauses 18.2-18.4, the Company's total aggregate liability arising out of or in connection with the relevant Contract shall not exceed £1,000, unless a different limit of liability is expressly agreed in writing between the Company and the Client and stated in the relevant quotation, order confirmation or other contractual document.
18.6 Nothing in this clause limits the Client's obligation to pay Charges properly due.
18.7 The Client should maintain appropriate insurance for property, theft, business interruption, cyber risk and other risks relevant to its operations. A CCTV System is not a substitute for appropriate insurance.
18.8 The Client shall notify the Company of any claim as soon as reasonably practicable after becoming aware of the circumstances giving rise to it and shall provide sufficient information to permit reasonable investigation.
19. Suspension, Termination, Force Majeure and General Provisions
19.1 The Company may suspend Services or terminate the Contract where: (a) material payments remain overdue following reasonable notice; (b) the Client materially breaches the Contract and fails to remedy the breach within a reasonable period after notice; (c) the Client requires the Company to act unlawfully; (d) the Site becomes materially unsafe; (e) the Client becomes insolvent, enters administration or liquidation, ceases or threatens to cease trading, or is unable to pay its debts as they fall due; or (f) continued support becomes impossible because equipment is obsolete or unsupported, provided the Company gives reasonable notice where practicable.
19.2 Where Maintenance Services are provided on a recurring basis, the initial term and termination arrangements shall be stated in the quotation or maintenance agreement. If no specific continuation provision is stated, the maintenance arrangement shall continue after any initial fixed term on a rolling monthly basis terminable by either party on one month's written notice.
19.3 Neither party shall be liable for delay or failure in performance, other than payment of money already due, caused by circumstances beyond that party's reasonable control. Such circumstances may include severe weather, flood, fire, industrial dispute, war, terrorism, government action, widespread power, telecommunications or internet failure, manufacturer disruption or other comparable events.
19.4 Notices may be sent by email to the addresses stated in the Contract or subsequently notified, or by first-class post to the relevant registered or principal business address.
19.5 The Client may not assign or transfer the Contract without the Company's prior written consent. The Company may assign the Contract as part of a bona fide transfer or reorganisation of its business.
19.6 The Company may use suitably competent employees, contractors or specialist subcontractors to perform elements of the Services.
19.7 System designs, drawings, proposals, specifications and other materials created by the Company remain the Company's intellectual property unless expressly agreed otherwise. The Client may use documentation supplied to it for the operation and maintenance of the installed CCTV System.
19.8 If any provision is invalid or unenforceable, it shall be modified to the minimum extent necessary or, if that is not possible, treated as deleted. The remainder of the Contract shall continue in force.
19.9 Failure or delay in exercising a contractual right does not amount to waiver of that right.
19.10 No person other than the parties shall have any right to enforce the Contract under the Contracts (Rights of Third Parties) Act 1999.
19.11 The Contract constitutes the entire agreement between the parties concerning the relevant Equipment and Services and supersedes earlier discussions or representations relating to them. Nothing excludes liability for fraud or fraudulent misrepresentation.
19.12 Any material variation to the Contract must be agreed in writing by an authorised representative of the Company.
20. Governing Law and Jurisdiction
20.1 The Contract and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.
20.2 The courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with the Contract.
